The client receives a business-use license to use the specific deliverables produced for them.
Clients may not resell, redistribute, replicate, or commercially exploit any deliverables outside the scope of their internal business use unless expressly permitted in writing.
This structure allows Horizons Edge to reuse non-client-specific code and methods across projects.
6. Use of AI and Limitations
6.1 Non-Deterministic Outputs
AI systems are inherently probabilistic and non-deterministic.
Therefore:
Outputs may contain errors, omissions, inaccuracies, or hallucinations;
Results may vary from one execution to another;
AI-generated content should not be considered authoritative or automatically reliable.
6.2 Human Oversight Required
Before any AI solution is put fully into production, clients are strongly advised to implement a human-in-the-loop review phase, in which:
A human operator reviews and approves outputs;
The system’s reliability is monitored over time;
Appropriate safeguards and validation processes are implemented.
Horizons Edge may recommend or require this phase depending on the project.
6.3 No Professional Advice
AI solutions provided by Horizons Edge:
Are not a substitute for legal, financial, or other regulated professional advice;
Must not be used as the sole basis for legal, financial, compliance, or high-risk business decisions.
Clients are responsible for ensuring that all AI outputs are reviewed and validated by competent personnel.
7. Client Data, Confidentiality & GDPR
7.1 Roles Under GDPR
In the context of client projects:
Client is the Data Controller of any personal data processed as part of their business operations.
Horizons Edge acts as a Data Processor, processing such data solely on the client’s documented instructions.
For Website usage:
Horizons Edge may act as a Data Controller for analytics or contact form submissions.
7.2 Data Processing Agreement
A separate Data Processing Agreement (DPA) will be provided and signed as part of the service contract. These Terms include only high-level GDPR obligations.
7.3 Data Storage & Transfers
Where required to perform services:
Data may be processed within the EU or in third countries using providers offering adequate safeguards (e.g. Standard Contractual Clauses).
Some AI APIs or cloud tools may be hosted outside the EU.
Clients are responsible for verifying that the input data they provide is lawful and compliant.
7.4 Confidentiality
Both parties agree to keep each other’s confidential information secure and not disclose it to third parties except as required by law.

Only with the client’s prior written consent.
8. Acceptable Use Policy
You may not use the Website or any services provided by Horizons Edge for:
Any illegal activity;
Spam, fraud, or deceptive practices;
Harassment, hate content, or defamation;
Activities that violate GDPR or other data protection laws;
Creating or assisting systems intended for surveillance, discrimination, or other harmful uses.

9. Payments, Retainers & Refunds

Projects may include phased billing (e.g., POC phase, development phases). If a project does not proceed beyond a phase, fees for completed work remain payable.
9.3 Retainers
For ongoing support and maintenance:
Retainers are billed monthly.
To terminate a retainer, clients must provide at least 7 days’ written notice before the renewal date.
9.4 Refunds
Horizons Edge does not offer refunds for completed work, hours spent, or phases delivered. Refund terms, if any, will be specified in the signed contract for each project.
10. Third-Party Services
Our AI solutions may integrate third-party APIs, cloud services, or models (e.g., OpenAI, Google Cloud). Their terms and service availability are outside our control.
Horizons Edge is not liable for downtime, changes, or results influenced by third-party systems.
11. Limitation of Liability
To the maximum extent permitted by law:
Horizons Edge is not liable for indirect, incidental, punitive, or consequential damages, including loss of profits, revenue, or data.
Our total aggregate liability arising from or related to the Website or any services shall not exceed the total fees paid by the client to Horizons Edge in the 12 months preceding the event giving rise to the claim.
This limitation applies regardless of legal theory, including negligence, contract breach, or tort.
Nothing in these Terms excludes liability that cannot legally be excluded under Spanish or EU law.
12. Indemnification
You agree to indemnify and hold Horizons Edge harmless from any claims, damages, losses, or penalties arising from:
